AGREEMENT

PLEASE BE ADVISED THAT THIS ONLINE PUBLICATION AND SOFTWARE, AND ALL DOCUMENTS AND MATERIAL RELATING HERETO ("Information") IS THE CONFIDENTIAL PROPERTY OF TRUE VALUE COMPANY. As set forth in your Retail Member Agreement with True Value Company ("Member Agreement"), each Member has agreed that all Information furnished to the Member, which includes this online publication and software, is the confidential property of True Value Company, developed and promoted for the benefit of its Members. By indicating your acceptance by clicking the accept box below, you agree not to divulge or display any of the Information to anyone who is not a Member or not affiliated with True Value Company, and not to use the Information in a way which is detrimental to True Value Company or its Members. By your acceptance, you agree to use the Information only in connection with the purpose of promoting your retail business with your retail customers. By your acceptance, you acknowledge and confirm that any dissemination or other disclosure of the Information for any purpose, to anyone not affiliated with True Value Company, shall cause immediate and irreparable harm to fellow Members and True Value Company. By your acceptance, you agree that a breach of this confidentiality requirement by you may result in the termination of your Member Agreement.

THIS ONLINE PUBLICATION AND SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY ADDITIONAL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. NEITHER THIS AGREEMENT NOR ANY RELATED DOCUMENTATION FURNISHED IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THIS ONLINE PUBLICATION WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE OR THAT THE SOFTWARE WILL PROVIDE UNINTERRUPTED, TIMELY OR ERROR FREE SERVICE. THE SECURITY MECHANISM INCORPORATED IN THE SOFTWARE HAS INHERENT LIMITATIONS AND MEMBER HAS DETERMINED THAT THE SOFTWARE ADEQUATELY MEETS ITS REQUIREMENTS.

True Value Company shall not be liable to you in any way for actual or alleged claims or damages arising out of the services or Information provided hereunder. You agree to indemnify and hold harmless True Value Company from and against any and all costs, damages, claims, suits or expenses arising from your use of the Information.

You agree that by checking the I agree button, this constitutes an electronic signature as defined by the Electronic Signature in Global and National Commerce Act and that the agreement is completely valid, has legal effect, is enforceable, and is binding on, and non-refutable by You.
